Parties and Scope
This agreement is between Vertex Method Ltd (“Vertex Method”, “we”, “us”) and the individual or organisation purchasing or accessing IPSRM™ products (“you”, “the Licensee”). It governs use of the IPSRM™ Practitioner System (the Practitioner Handbook, IPSRM Field and the Assessment Case File), the Organisational Implementation Programme, and all associated documents and software, whether obtained at ipsrm.org, through IPSRM Field at field.ipsrm.org, via Gumroad, or by direct invoice from Vertex Method Ltd.
Products and Licence Grants
2.1 Individual Licence (£395 per year)
Grants one (1) named individual the right to use the complete IPSRM™ Practitioner System (the Practitioner Handbook, IPSRM Field and the Assessment Case File) for professional physical security assessment work, including commercial client engagements, on up to two devices. The Individual Licence is an annual subscription that renews each year until cancelled.
2.2 Team Licence (£299 per named user per year)
Grants between two (2) and five (5) named individuals within the same organisation the same rights as the Individual Licence, each on up to two devices. Team Licences are invoiced annually by Vertex Method Ltd. Named users may be changed by written request to Vertex Method, acting reasonably and not more frequently than twice per year.
2.3 Organisational Implementation Programme (£795)
A separate, additional licence to the Organisational Implementation Programme documents, which extend the methodology for deployment across multiple sites, assessors, or reporting cycles. Available standalone or alongside an existing licence, at the time of that purchase or at any later date, for a one-time fee.
2.4 Organisational Licences
Licensing for more than five (5) named users is arranged directly with Vertex Method. The written terms agreed for such a licence supplement this agreement and take precedence where they differ.
2.5 Founder Practitioner Licences
Founder Practitioner Licences are offered to early adopters before public launch, for a one-time fee invoiced directly by Vertex Method Ltd. A Founder Practitioner Licence grants the same rights as the corresponding Individual or Team Licence and, subject to these terms, continues for as long as Vertex Method offers IPSRM Field, including updates and future editions of the methodology. Founder Practitioner Licences carry the guarantee in Section 9. The programme closes when public sales open.
2.6 Free Products
The IPSRM Field demonstration, the sample Executive Report, the Handbook Free Excerpt, and The Methodology Gap are made available at no cost for evaluation and informational purposes. They are not licensed for use on live client engagements or commercial assessment work — see Section 5.
The organisation, personnel, findings, and events described in the IPSRM™ Assessment Case File and the IPSRM Field demonstration (“Ardmore Logistics Ltd”) are wholly fictional and created for illustrative, educational, and demonstrative purposes only. No representation, express or implied, is made regarding any actual company, organisation, or individual. Any resemblance to any real entity — including in name, location, sector, or circumstance — is entirely coincidental. Vertex Method Ltd does not intend, and this material should not be construed, to describe, characterise, or comment upon the security posture, practices, personnel, or conduct of any real organisation, including any organisation that may share a similar or identical name to the fictional entity depicted.
Permitted Use
You may use a licensed copy of the IPSRM™ Practitioner System to conduct physical security assessments, including for commercial clients, and may describe such assessments as “IPSRM™-based” in proposals, engagement letters, and client-facing outputs.
You may issue the Executive Report and other client-facing documents produced with IPSRM Field under your own professional branding or letterhead. Your professional brand is yours; the IPSRM™ methodology brand is Vertex Method’s — both must be visible, and neither concealed.
Reports produced using IPSRM™ must include a brief methodology statement identifying IPSRM™ as the governing assessment framework and the version used. IPSRM Field includes this statement automatically. This is a proportionate professional attribution, not a prominent disclosure.
Prohibited Use
You may not present the IPSRM™ methodology as your own proprietary methodology, or remove references to IPSRM™ or its trademark from any report or document produced using it.
You may not share a licence key, or provide access to IPSRM Field or licensed documents, to any individual beyond the named user(s) covered by your licence. Each licence key is personal to one named user.
You may not circumvent the licence check or device limits, or modify, reverse-engineer, decompile, or redistribute IPSRM Field, its calibration rules, or its outputs as a standalone product or tool.
You may not use the IPSRM Field demonstration, free materials, or a complimentary review licence on live client engagements or commercial assessment work, except as agreed with Vertex Method in writing — see Section 5.
Free, Demonstration and Evaluation Materials
The IPSRM Field demonstration is available to anyone without a licence key. It contains a fictional assessment, every output it produces is marked as a demonstration, and it does not permit the creation of new engagements.
The sample Executive Report and the Handbook Free Excerpt are provided free of charge for evaluation purposes only. The Methodology Gap is provided for general informational and educational purposes. None of these grants any licence to use the IPSRM™ methodology commercially.
Vertex Method may, at its discretion, provide complimentary review licences for a fixed period. Unless otherwise agreed in writing, a review licence is for evaluation only, is not for client work, and ends at the end of its stated period.
Platform Requirements
IPSRM Field runs in a current web browser. The platforms on which it has been tested are listed in the Security and data statement, available in IPSRM Field under Settings and at ipsrm.org/security-and-data. An internet connection is needed to enter a licence key and for the periodic licence check; otherwise IPSRM Field works offline once loaded.
Assessment data is stored only on the devices you use. Vertex Method does not receive, hold, or have access to it, and cannot recover it. You are responsible for keeping backups, using the backup facilities IPSRM Field provides, and for the security of your own devices.
Licence Keys and Devices
Each licence is provided as a licence key for one named user. A named user may use IPSRM Field on up to two devices. Each browser, and each app installed from a browser, counts as a separate device. To move a licence to a new device, contact support@ipsrm.org.
When a licence key is entered, and periodically afterwards, IPSRM Field sends the licence key and its product identifier to Gumroad, Inc. to confirm the licence is valid. No assessment data is sent. Details are set out in our Privacy Policy.
Fees and Payment
All fees are quoted in GBP and are exclusive of VAT where applicable.
Individual Licences are sold through Gumroad, Inc., which acts as merchant of record and whose own terms and privacy policy govern the payment transaction itself. The subscription renews automatically each year until cancelled. You may cancel at any time; cancellation takes effect at the end of the period already paid for.
Team, Organisational, and Founder Practitioner Licences are invoiced directly by Vertex Method Ltd to business customers, and licence keys are issued on confirmation of payment. Annual licences are invoiced before each renewal. The Organisational Implementation Programme and Founder Practitioner Licences are one-time payments.
Prices are reviewed annually. Existing subscribers will receive at least 60 days’ notice of any price increase before it applies to their renewal. Founder Practitioner Licences are not affected by price changes.
Refunds
IPSRM™ products are digital, and licences are available for use immediately. Because of this, and because IPSRM™ products are purchased for professional or business use rather than as consumer purchases, we do not offer refunds as a matter of course.
The exception is a genuine fault: if a product is faulty, incomplete, or not the product you ordered, and we cannot put this right, contact us and we will resolve it promptly, including a replacement or refund where the fault cannot otherwise be corrected.
Founder Practitioner Licences carry a 60-day money-back guarantee, running from the date access is provided. A refund ends the licence.
The IPSRM Field demonstration, the sample Executive Report, and the Handbook Free Excerpt are available before purchase specifically so you can evaluate the working system before committing to a licence.
At checkout, you will be asked to confirm that you understand digital products are delivered immediately and that, where the standard UK consumer cooling-off period would otherwise apply, you agree to waive it in order to receive immediate access. This safeguards the small number of purchases that may fall under consumer protection rules, in addition to the professional-use position stated above.
Intellectual Property
IPSRM™ (Integrated Physical Security Review Methodology) and all associated documents, software (including IPSRM Field), templates, and the IPSRM™ trademark are the intellectual property of Vertex Method Ltd. A licence granted under this agreement is a right to use these materials under the terms stated; it does not transfer ownership of any underlying intellectual property. You retain full ownership of any assessment findings, client reports, or original content you produce using the licensed materials, subject to the attribution requirements in Section 3.
If you provide suggestions or feedback about IPSRM™, Vertex Method may use them to improve its products without obligation to you, and ownership of the methodology and its materials is unaffected.
Updates and Editions
Updates to IPSRM Field are delivered automatically and are included with every active licence.
Vertex Method may in future release a new edition of the IPSRM™ methodology as a separate product. Existing licences continue to work as before, and completed assessments are unaffected. Founder Practitioner Licences include future editions at no additional charge.
Warranties and Disclaimers
IPSRM™ is provided as a structured methodology to support professional judgement, not to replace it. Vertex Method makes no warranty that use of IPSRM™ guarantees any particular assessment outcome, regulatory compliance, or client satisfaction. IPSRM™ is a general physical security assessment methodology; where specific regulatory obligations apply (including but not limited to the Terrorism (Protection of Premises) Act 2025), it is the Licensee’s responsibility to ensure their assessment addresses the specific requirements of the applicable framework. This agreement does not constitute legal, regulatory, or professional advice.
We will use reasonable efforts to keep IPSRM Field and the licence check available and working, but do not guarantee that they will be uninterrupted or error-free.
Limitation of Liability
To the fullest extent permitted by applicable law, our total aggregate liability to you arising out of or in connection with this Agreement (whether in contract, tort, negligence, breach of statutory duty or otherwise) is limited to the total fees you have paid to us for the Products in the twelve (12) months immediately preceding the event giving rise to the claim.
We shall not be liable for any indirect, incidental, special, punitive or consequential losses, nor for loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or loss or corruption of data, whether or not such losses were foreseeable. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under UK law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited.
Term and Termination
An annual licence continues for each year for which it is paid. A Founder Practitioner Licence continues for as long as Vertex Method offers IPSRM Field. Any licence continues only while you comply with these terms. Vertex Method may terminate a licence where these terms are materially breached, including sharing a licence key or licensed materials beyond the named user(s) covered.
When a licence ends, whether through non-renewal, refund, or termination, your engagements remain on your devices and can still be read, edited, backed up, and exported, but new engagements and reports are no longer available.
If Vertex Method decides to stop offering IPSRM Field, it will give licence holders at least 90 days’ notice.
Governing Law
This agreement is governed by the laws of England and Wales.
